1. Scope and acceptance
1.1
This Agreement governs TeamHub commercial subscriptions, official Licence Keys, Commercial Features, support, maintenance, quiet mode and roadmap participation.
1.2
TeamHub is distributed under the AGPL-3.0. Installing or using TeamHub under the AGPL-3.0 does not by itself create a commercial relationship with Licensor.
1.3
Commercial subscriptions are offered only to organisations and natural persons acting in the course of a profession or business, not to consumers.
1.4
Licensee accepts this Agreement through an online order, accepted quotation, signed Order, written purchase instruction or another express method offered by Licensor.
1.5
The General Terms and Conditions at https://doekworks.eu/docs/general-terms-and-conditions.php?lang=en apply. In case of conflict, the Order prevails, followed by this Agreement, the General Terms, the Support Policy and Lifecycle Policy, and other documentation. The AGPL-3.0 independently governs rights granted under that licence.
2. Definitions
Commercial Features
Functionality present in the official AGPL-3.0 distribution that is technically activated in an official installation by a valid Licence Key.
Commercial Subscription
The paid relationship under which Licensor supplies an official Licence Key, support, maintenance and other commercial entitlements.
Grace Period
The fourteen days immediately following expiry of a paid Licence Period. Trials have no Grace Period.
Instance
One Nextcloud installation identified by its unique Nextcloud instanceid or Instance UUID.
Licence Key
A digitally signed key issued for one Instance, containing or determining the Instance UUID, Seat capacity, subscription type, start date and expiry date.
Non-production Instance
An Instance used only for testing, acceptance, staging, development or disaster-recovery testing, not ordinary production.
Seat
One unique active Nextcloud account that is a member of at least one Team. Membership of multiple Teams counts once. Guest, federated, external, service, shared, bot and automation accounts count when they are Team members. Disabled and permanently deleted accounts do not count.
Trial
A temporary Licence Key issued without charge for evaluation.
3. AGPL-3.0 relationship
3.1
The Software, including functionality technically activated by a Licence Key, is distributed under the AGPL-3.0.
3.2
Any person may use, study, modify and distribute TeamHub in accordance with the AGPL-3.0. A commercial subscription is not required to exercise those rights.
3.3
The commercial subscription supplies an official Licence Key, supported activation, support, maintenance, quiet mode, licence administration and priority consideration of feedback. It does not restrict AGPL-3.0 rights.
3.4
Instance, Seat and Licence Period restrictions apply to the official Licence Key and commercial entitlements, not to separate use under the AGPL-3.0.
4. Commercial entitlements
4.1
During the Licence Period, Licensee receives supported activation of the Commercial Features, quiet mode, support and maintenance, and priority consideration of bug reports, operational feedback and feature requests.
4.2 Quiet mode
Quiet mode disables promotional maintainer messages, optional feedback requests, optional promotional branding and usage telemetry. Security notices, compatibility warnings, licence status, legally required attribution and necessary documentation links may remain visible.
4.3
Starter, Business and Enterprise provide the same Commercial Features unless the Order states otherwise. They differ mainly by Seat capacity, pricing and individual service arrangements.
4.4
Licensor retains final responsibility for the roadmap and does not guarantee acceptance, implementation or delivery dates for a request. Only separately agreed custom development creates a binding development obligation.
5. Licence Keys and Instances
5.1
Each production Instance requires its own Licence Key and subscription. The key may be used only on the Instance for which it was issued and up to its Seat capacity.
5.2
Each subscription includes one separate Non-production Licence Key with the same or a lower Seat capacity and the same expiry date. It may not be used as a second production environment and creates no separate support entitlement.
5.3
A hosting or service provider may administer the key only on Licensee's behalf and acquires no independent rights.
5.4
Licence Keys must not be published, sold, sublicensed, forged, altered or used for another customer or Instance.
6. Plans and Seats
6.1
The plans are Starter up to 50 Seats, Business up to 100 Seats, and Enterprise above 100 Seats.
6.2
Enterprise Licence Keys are technically issued in increments of 50 Seats. If 215 Seats are required, the key may permit up to 250 Seats. The Order determines the commercial quantity and price.
6.3
Licensee is responsible for monitoring Seat use. Licensor does not remotely monitor the customer Instance.
6.4 Add-ons
Additional Seats are purchased in increments of 50 for the remainder of the current Licence Period. Licensor issues a replacement key with the increased capacity and the original expiry date. The previous key is superseded.
7. Local validation and modified installations
7.1
Licence validation occurs locally using Licensor's public key. TeamHub does not contact Licensor to validate, renew, count Seats or report compliance.
7.2
A modification does not automatically end support. If an issue may relate to a modification, Licensor may require reproduction on an official, unmodified, supported release.
7.3
Licensor need not support customer modifications, issues caused by them, issues not reproducible on an official release, or modifications that bypass the official Licence Key mechanism.
8. Migration
A replacement Licence Key for a new Instance UUID may be issued without an additional licence fee for the remaining Licence Period. Old and replacement keys may overlap for up to fourteen days solely for migration. Thereafter the old key must be removed and the old Instance must cease commercial production use.
9. Support
9.1
Support is provided through support@doekworks.eu for all paid plans during the Licence Period.
9.2
Licensor uses commercially reasonable efforts to provide a first substantive response within two Business Days. This is not a resolution guarantee or SLA.
9.3
Support covers TeamHub diagnosis, defects in supported official releases, compatibility with supported Nextcloud versions, TeamHub integration code and Licence Key administration.
9.4
Support excludes general Nextcloud administration, hosting and infrastructure, third-party defects, custom development, training, migration, on-site assistance, unsupported versions and exclusions under article 7.
10. Updates, testing and supported versions
10.1
Updates released during the Licence Period are included. Licensor supports the two most recent Nextcloud major versions, subject to technical feasibility and a reasonable transition period.
10.2 Production deployment and testing
Before production deployment, Licensee shall review release notes and compatibility information, verify backups, install and test the update in a representative Non-production Instance, confirm that Nextcloud exits maintenance mode, review relevant logs, test principal TeamHub functionality and dependent applications, and establish a rollback or recovery procedure.
Licensee shall deploy to production only after the update has completed successfully in non-production and the tested functionality operates as expected.
10.3
Licensee controls production timing, maintenance windows, personnel, backups and recovery. Unless agreed otherwise, Licensor does not perform or supervise production deployment.
10.4
For urgent security updates, Licensee shall test as far as reasonably possible and shall use verified backups, monitoring, a maintenance window and a tested recovery procedure.
10.5
Licensor uses commercially reasonable efforts to test official updates, publish appropriate release and compatibility information, investigate material defects, provide a corrected release or workaround where feasible, and communicate known material deployment risks.
11. Seat enforcement
11.1
Above 100% of the licensed Seat capacity, administrators receive a warning.
11.2
Above 110%, Commercial Features enter the unlicensed state until Seat use is reduced or a sufficient replacement key is installed. For a 250-Seat key, this occurs from 276 Seats.
11.3
Data is retained and not deleted, but Commercial Features and associated views may be unavailable. AGPL-3.0 functionality remains available. Installing an appropriate key restores access.
12. Fees and payment
Fees are stated in the Order or applicable pricing page, exclude VAT and taxes unless stated otherwise, and are non-refundable except where mandatory law requires otherwise. Starter and Business are paid in advance. Enterprise is payable as stated in the Order, normally within thirty days. The Licence Key is normally issued after payment.
13. Term, expiry and Grace Period
13.1
A subscription begins when the Licence Key is issued and runs for the dates encoded in the key. It does not renew automatically. A new Order, payment and key are required for a new period.
13.2
A paid subscription has a fourteen-day Grace Period. Commercial Features and quiet mode remain active, but commercial support, maintenance and roadmap consultation have ended.
13.3
After the Grace Period, the key is expired and Commercial Features enter the unlicensed state. Data remains stored but may not be visible in the official interface. AGPL-3.0 functionality continues.
14. Trials
Trials are normally valid for thirty days, do not renew or convert automatically, contain no guaranteed response time or SLA, and have no Grace Period. Licensor may limit Trials to one per Instance or organisation and may refuse or discontinue a Trial in case of abuse, misrepresentation, fraud or repeated production use.
15. Licensee responsibilities
Licensee is responsible for installation, configuration, infrastructure security, access management, backups, disaster recovery, testing, lawful use, monitoring Seats and expiry, correct ordering information, qualified production personnel, recovery procedures and prompt mitigation of production disruption.
16. Warranty
TeamHub is provided under the AGPL-3.0 on an “as is” and “as available” basis to the maximum extent permitted by law. Licensor does not warrant uninterrupted or error-free operation, suitability for every purpose or indefinite third-party compatibility. Commercial services are performed with reasonable care and professional skill.
17. Privacy and telemetry
Licensor processes business contact, billing, licence and support data as described in the Privacy Notice at https://doekworks.eu/docs/privacy-notice.php?lang=en.
A commercial Licence Key does not contain TeamHub user identities, messages, files or customer content. Licence validation is local.
Usage telemetry is disabled while a paid Licence Key or Trial is valid and during the paid Grace Period. Community telemetry outside an active commercial relationship is described in the Telemetry Notice at https://doekworks.eu/docs/telemetry-notice.php?lang=en.
18. Termination
Licensor may terminate for a material breach not remedied within fourteen days after written notice. Immediate termination is permitted for intentional key distribution, forgery, knowing use of another customer's key, continued production use of a non-production key after warning, fraud or continued non-payment after reminder.
Following termination, support, maintenance, roadmap consultation and entitlement to replacement, migration, renewal and add-on keys end. Issued offline keys may not be technically revocable, but this does not continue contractual rights. AGPL-3.0 rights remain unaffected.
19. Liability
To the maximum extent permitted by law, Licensor is not liable for indirect, incidental, special or consequential loss, including profit, revenue, savings, goodwill, business interruption, data loss, production downtime or failure of Nextcloud, infrastructure or third-party software.
Aggregate liability is limited to the fees paid or payable under the affected subscription during the twelve months preceding the event, or the shorter period if the subscription existed for less than twelve months.
Licensor is not liable for production damage to the extent caused or increased by Licensee's failure to test, maintain backups, follow release information, use a maintenance window, maintain a recovery procedure, follow reasonable instructions or mitigate loss. Direct production deployment without the required testing is at Licensee's operational risk.
Limitations do not apply where liability cannot legally be excluded, including intent or deliberate recklessness where applicable under Dutch law.
20. Changes
The version accepted with the Order applies for that Licence Period. Revised versions apply only to new Orders or new Licence Periods unless expressly agreed or required by mandatory law.
21. General provisions
The Order, this Agreement and the General Terms form the commercial agreement. Customer terms are rejected unless accepted in writing. Dutch law applies. Disputes are submitted to the competent court of the District Court of Northern Netherlands, location Assen, unless mandatory law provides otherwise. The English version prevails over translations.
